By accessing our website or engaging AVENEL ("Agency", "we", "us") for services, you agree to be bound by these Terms of Service. Please read them carefully.

1. Services

AVENEL provides creative services including but not limited to Brand Identity, UX/UI Design, and Web Development. The specific scope of work, deliverables, timeline, and fees for any project will be outlined in a separate Proposal or Service Agreement signed by both parties.

2. Payments & Refunds

  • Deposits: A non-refundable deposit (typically 50%) is required to secure your slot in our schedule and commence work.
  • Final Payment: The remaining balance is due upon project completion, prior to the release of final files or website launch.
  • Refunds: Due to the custom nature of our work, we do not offer refunds once work has commenced. If a project is cancelled by the client mid-stream, you are responsible for payment for all work completed up to that point.

3. Intellectual Property

Upon full payment of all fees, you (the Client) will own the rights to the final approved visual designs and code created specifically for your project.

AVENEL retains the right to use the completed project and any preliminary designs for our portfolio, marketing materials, and case studies. We also retain ownership of any underlying pre-existing code libraries, frameworks, or design tools used to create your project.

4. Client Responsibilities

To ensure the project stays on timeline, you agree to provide necessary assets (text, images, logins) and feedback in a timely manner. Delays in client feedback may result in a rescheduling of the project timeline.

5. Limitation of Liability

AVENEL shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services or website.

6. Governing Law

These Terms shall be governed and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law provisions.
